TERMS AND CONDITIONS OF SERVICE

These Terms and Conditions of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of a business entity ("Client," "you," or "your"), and Trucking Help Center ("Company," "we," "us," or "our"). These Terms govern your access to, registration on, and use of the truckinghelpcenter.com website and any dispatching, consulting, back-office, compliance, or other trucking-related services provided by Trucking Help Center.

By creating an account, signing up for services, submitting your information, or using any paid or unpaid service offered by Trucking Help Center, you expressly acknowledge that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree, you must not register or use our services.

1. Scope of Services

Trucking Help Center provides services including, but not limited to:

• Dispatch services for owner-operators and carriers
• Load sourcing and booking assistance
• Broker and shipper coordination
• Back-office and administrative support
• Compliance assistance (MC, DOT-related guidance)
• Industry resources, directories, and educational content

Some services are paid services and may require a separate pricing agreement, written confirmation, invoice, or service plan. Free resources do not waive payment obligations for paid services.

2. Client Eligibility & Authority

By signing up, you represent and warrant that:

• You are at least 18 years of age
• You are legally authorized to operate or represent the motor carrier or business entity
• You hold a valid MC Number and/or DOT Number (where applicable)
• You have the authority to enter into this agreement on behalf of your business

Any false, misleading, or incomplete information constitutes a material breach of these Terms.

3. Payment Obligations & Fees

3.1 Fees

If you enroll in any paid service, you agree to pay all applicable fees as communicated to you via:

• Written agreement
• Invoice
• Email confirmation
• Website pricing page
• Messaging platforms (WhatsApp, SMS, or other business communication)

Fees may be flat-rate, percentage-based, weekly, monthly, or per-load, depending on the agreed service.

3.2 Non-Payment

Failure to pay any outstanding balance when due constitutes a material breach of contract.

In the event of non-payment, Trucking Help Center reserves the right to:

• Suspend or terminate services immediately
• Restrict account access
• Retain records of services performed
• Pursue collection efforts
• Initiate legal action to recover unpaid fees, damages, interest, legal costs, and attorney fees

You expressly agree that services rendered constitute enforceable consideration, even if loads were verbally approved, accepted electronically, or booked on your behalf.

4. Authorization to Act

You authorize Trucking Help Center to act as your dispatch and logistics support agent, including:

• Communicating with brokers and shippers on your behalf
• Negotiating load rates (subject to your approval or standing instructions)
• Booking loads under your MC authority

You acknowledge that Trucking Help Center is not a freight broker, does not assume carrier liability, and does not take possession of freight.

5. No Circumvention

You agree not to bypass, avoid, or circumvent Trucking Help Center after:

• Receiving broker or shipper information
• Using load details sourced by us
• Accepting or completing loads booked by us

Any circumvention to avoid payment will be treated as fraudulent conduct and a breach of contract, subject to legal enforcement.

6. User Accounts & Security

You are responsible for maintaining the confidentiality of your login credentials and all activities conducted through your account. Any actions taken under your account are deemed authorized by you.

7. Intellectual Property & Ownership

All content, systems, processes, databases, strategies, scripts, and materials used by Trucking Help Center are proprietary and protected under U.S. intellectual property laws.

User-generated content submitted to the platform becomes the exclusive property of Trucking Help Center, with full rights to use, reproduce, and distribute without compensation.

8. Prohibited Conduct

You agree not to:

• Provide false business or compliance information
• Dispute valid charges without justification
• Engage in abusive, threatening, or deceptive behavior
• Use services for unlawful purposes
• Misrepresent Trucking Help Center as a broker or carrier

9. Termination

We may terminate or suspend services immediately for:

• Non-payment
• Fraud or misrepresentation
• Violation of these Terms

Termination does not relieve you of payment obligations for services already rendered.

10. Limitation of Liability

To the maximum extent permitted by law, Trucking Help Center shall not be liable for:

• Lost profits
• Detention, layover, or accessorial disputes
• Broker non-payment
• Regulatory penalties incurred by the carrier

You remain solely responsible for compliance, operations, insurance, and cargo.

11. Indemnification

You agree to indemnify and hold harmless Trucking Help Center from any claims, damages, penalties, or liabilities arising from your operations, regulatory violations, or misuse of services.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.

You agree that exclusive jurisdiction and venue for any legal dispute shall be state or federal courts located in Virginia, USA.

13. Electronic Signatures & Binding Effect

You agree that electronic acceptance, account registration, digital acknowledgment, or continued use of services constitutes a legally binding signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act).

14. Severability

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.
